Proposed Change in By-Laws to be presented at the 2025 AGM

 

Section V11, BOARD OF DIRCTORS,

Clause 1:

Preamble: Due to the challenges of being able to recruit and elect nine (9) Directors  to meet the Society’s By-Law requirement,  it is recommended that By-Law V11 of the Gander Cooperative Society be changed as follows:

 

Clause # 1.

Existing :   The affairs of this Society shall be under the direction of a Board of not less than nine  (9) and more than twelve ( 12 ) Directors who shall be elected for a time three  ( 3)  year term except each as shall be chosen to fill vacancies. Retiring members, after a one (1) year absence from the Board may be elected, or appointed to the Board. The total period a Director may serve on the Board is three (3) consecutive terms, for a total of 9 years.

 

Proposed:  The affairs of the Society shall be under the direction of a Board of not less than five ( 5) and more than nine ( 9) Directors, who shall be elected for a three (3) year term except each as shall be chosen to fill vacancies. The total period a Director may serve is three (3) consecutive terms, for a maximum of 9 years. Retired Directors, after a one (1) year absence from the Board, may be elected or appointed to the Board again.
